1. Definitions

• "Company," "we," "us," "our" refers to garudadigas Co., Ltd., registered in Thailand at 156 Phahonyothin Road, Chatuchak, Bangkok 10900.
• "Client," "you" refers to the individual or organisation engaging our services.
• "Services" refers to the consulting and training programs offered by garudadigas.
• "Agreement" refers to these Terms together with any engagement proposal or contract signed by both parties.
• "Deliverables" refers to any reports, frameworks, training materials, or documentation produced during an engagement.

2. Acceptance of Terms

By submitting an enquiry through our website, signing an engagement proposal, or participating in any of our programs, you confirm that you are at least 18 years of age, have legal capacity to enter into agreements, and accept these Terms.

3. Service Description

garudadigas provides three core program types:

• AI for Customer Experience Enhancement (6-week consulting engagement)
• AI-Assisted Data Analytics Training for Teams (10-week training program)
• AI Strategy Roadmap for Digital Transformation (14-week strategy engagement)

Services are delivered primarily in Bangkok and remotely across Thailand. Scope, timeline, and deliverables for each engagement are specified in a written proposal agreed by both parties prior to commencement.

4. User Responsibilities

As a client or website user, you agree to:

• Provide accurate and complete information during the enquiry and onboarding process
• Make personnel and relevant internal data available in accordance with the agreed engagement scope
• Designate an appropriate internal contact for project communication
• Refrain from using our website or services for any unlawful or harmful purpose
• Not reproduce, resell, or distribute our proprietary methodologies or frameworks without written consent

5. Intellectual Property

All methodologies, frameworks, and proprietary materials developed by garudadigas remain the intellectual property of the Company. Deliverables produced specifically for your engagement are transferred to you in full upon final payment and may be used, adapted, and built upon within your organisation without restriction. You may not resell or commercially redistribute deliverables to third parties without written consent.

6. Payment Terms

• Program fees are invoiced in Thai Baht (฿) as specified in the engagement proposal.
• A deposit of 50% is due upon signing. The remaining balance is due on completion.
• Payment terms: 14 days from invoice date unless otherwise agreed in writing.
• Late payments may incur statutory interest under Thai law.

Cancellation and Refunds:

• Cancellation more than 14 days before engagement start: full deposit refund.
• Cancellation within 14 days of start: 50% of deposit refunded.
• Cancellation after engagement commencement: fees proportional to work completed are retained.

7. Confidentiality

Both parties agree to treat as confidential any business information disclosed during the engagement. garudadigas will not disclose client organisational data to third parties except as required by law or as necessary to deliver the agreed services. This obligation continues for three years after engagement completion.

8. Data Handling

Client data used during consulting or training sessions is subject to a separate Data Processing Agreement. All organisational data is anonymized before use in training exercises and deleted within 30 days of engagement close. For further detail, see our Privacy Policy.

9. Disclaimers

Our services are provided in good faith based on the information you share and our professional assessment. We do not make representations about specific business outcomes, revenue improvements, or performance metrics. AI tool recommendations include expected impact ranges — these are estimates, not commitments. Our website content is provided for informational purposes and does not constitute professional legal, financial, or regulatory advice.

10. Limitation of Liability

To the extent permitted by Thai law, garudadigas's liability for any claim arising from our services is limited to the fees paid for the specific engagement in question. We are not liable for indirect, consequential, or incidental losses, including lost profits or business opportunities, arising from our services or recommendations.

11. Indemnification

You agree to indemnify and hold harmless garudadigas, its directors, and consultants from any claims, losses, or expenses (including legal fees) arising from your misuse of our services, your breach of these Terms, or any inaccurate information you provide during an engagement.

12. Termination

Either party may terminate an engagement with 14 days' written notice. On termination, fees for work completed to that point are payable. garudadigas may terminate immediately in cases of non-payment, material breach, or conduct that creates risk for our personnel or other clients.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the courts of Thailand, with Bangkok courts having primary jurisdiction.

14. General Provisions

• Entire Agreement: These Terms, together with any signed engagement proposal, constitute the full agreement between parties.
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
• Waiver: Failure to enforce any term does not constitute a waiver of that term.
• Assignment: You may not assign your rights under these Terms without written consent from garudadigas.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be published on our website. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
